These Terms of Service (the "Terms") set out the conditions for using Nekti (the "Service"), a service for restaurants provided by Qryptraveller LLC (service name: Nekti; the "Company"). The Service is intended for use by businesses for business purposes.
Article 1 (Application)
These Terms apply to all relations between Users and the Company concerning the use of the Service.
Article 2 (Eligibility — business use only)
The Service is intended for restaurants and other business operators to use for business purposes. It is not intended for use by individuals for non-business (consumer) purposes. Users represent and warrant that they are business operators and that they use the Service for business purposes.
Article 3 (Registration)
Registration is completed once a prospective User applies in the manner prescribed by the Company and the Company approves the application. The Company may refuse to approve an application if it determines that the applicant falls under any of the following, and is not required to disclose the reason.
- False statements at the time of application.
- An application from someone who has previously violated these Terms.
- Any other case in which the Company deems registration inappropriate.
Article 3-2 (Consent to these Terms and the Privacy Policy)
Our Privacy Policy (https://nekti.site/en/privacy) forms part of these Terms. Consent to these Terms and the Privacy Policy is governed as follows.
- By checking the consent box on the login screen of the Service's app and logging in, the user agrees to these Terms and the Privacy Policy (including the transmission of information to external AI services set out in Article 12-2).
- As set out in Article 10-3 of the Privacy Policy, we use restaurants' business data (sales, inventory, reservations, etc.) to improve our services and to research and develop new features, but only after pseudonymizing it or aggregating it statistically so that it cannot directly identify any individual. We never sell or provide the data used for research and development to any third party.
Article 4 (Early Access and Service Availability)
The Service is currently in development toward its official release and is provided as early access to users whom the Company invites in stages. No fees are charged for use of the Service during the early access period. During the early access period, in addition to the features of the Free plan, the Company may provide, on a trial basis, those features of the Paid plan that the Company releases in stages. During the early access period, features of the Service will continue to be added and changed and defects will continue to be fixed, and the Company does not guarantee the content of the Service or its continued provision. The Company will not make any representation regarding the availability or plans of the Service that differs from the facts.
Article 5 (Fees and Payment Methods)
Fees and payment for the Service are set out as follows.
- The Service has a Free plan and a Paid plan. The fees for the Paid plan are as set out on the pricing page, and users may choose monthly or annual payment. All prices are in Japanese yen (excluding tax). Features of the Paid plan that are marked "Rolling out" on the pricing page will be released in stages after the Paid Plan Start Date, and released features may be used at no additional charge.
- Users shall pay the fees for the Paid plan through the payment processor FastSpring, Inc. (Merchant of Record). Charging, billing, and tax handling are performed by FastSpring, and statements will show "FASTSPRING".
- Before the date on which the Company begins providing the Paid plan (the "Paid Plan Start Date"), applications for the Paid plan will be accepted as reservations. A reservation requires registration of the store name and email address and payment of a reservation deposit of ¥1,000 (excluding tax). Reservations are limited to 1 per store.
- The Company will notify users of the Paid Plan Start Date at their registered email address at least 7 days in advance. When a user who has made a reservation applies on or after the Paid Plan Start Date, the deposit will be deducted from the amount of the first payment. Applications for the Paid plan are charged on the date of application, and the service period begins on that date.
- Users who have made a reservation may cancel it at any time. The deposit will not be refunded for any reason, including cancellation of the reservation or the choice between monthly and annual payment. However, if the Company does not begin providing the Paid plan by June 30, 2027, the deposit will be refunded in full. Seats that were secured by a canceled reservation will not be allocated to other users.
- The Paid plan renews automatically every month for monthly payment and every year for annual payment until the user cancels, and each renewal is charged to the registered card.
- If a payment cannot be completed, the Company will contact the user and request payment. If payment is not confirmed within 7 days of the first contact, the Company may cancel the relevant application (including any seat secured by a reservation).
Article 6 (Founding Price)
For the Paid plan, the Company may set prices discounted from the list price for a fixed number of seats (the "Founding Price"). The Founding Price is handled as follows.
- The price and number of seats at each step of the Founding Price are as set out on the pricing page, and seats are counted separately for monthly and annual payment. When all seats at a given step are filled, the price of the next step applies.
- The Founding Price that applies to a user is the price on offer at the time of application (including reservation), and seats are secured in the order of application.
- The price applied at the time of application will continue to apply only for 5 payments, including the first payment (5 months for monthly payment, 5 years for annual payment). For the 6th and subsequent payments, the price on offer by the Company at that time will apply.
- If the user cancels the Paid plan, if the application is canceled under item 7 of the preceding Article because payment could not be completed, or if payment is otherwise late, the price lock in the preceding item ends at that point. If the user applies again thereafter, the price on offer at that time will apply.
- A change from monthly to annual payment takes effect from the next renewal date, and no prorated calculation is made. The price after the change is the annual price on offer at the time of the change.
- If an application is canceled because payment could not be completed, seats secured by that application will not be allocated to other users.
- The price lock under the Founding Price is limited to the monthly fee (or annual fee for annual payment) and, as a contractual position tied to this agreement, may not be transferred to any third party.
Article 7 (Free Points)
The Company grants points free of charge according to use of the Service, reports of defects, suggestions for improvement, survey responses, referrals of other stores, and other conditions set by the Company. The conditions and amounts of grants are as set out on the pricing page, and points are handled as follows.
- Points may be used only as a discount on Paid plan fees, at a rate of 1 point to 1 yen. They may not be used for AI credits or any other payment.
- Points are granted per store, and points granted as a result of actions by the store's employees and the like are also granted to that store.
- Points are used automatically from the points held by the store at the time the Paid plan payment amount is determined (for the second and later payments, 00:00 Japan time on the day before the payment date; for the first payment, the time of application). The discount from points, combined with the discount from the Founding Price, is capped at an amount equal to 70% of the list price. Points granted after that time are used for the next and subsequent payments.
- Points are granted free of charge and may not be purchased, exchanged for cash, refunded, or transferred to other stores or any other third party. Points are not intended to constitute prepaid payment instruments.
- Points do not expire. However, if a store's account is deleted, or if use is suspended on grounds of fraud under Article 10 or otherwise, that store's points will be extinguished.
- If a payment made using points is reversed by a refund or by cancellation under Article 5, item 7, the points used for that payment will be returned to the store.
- If a user violates these Terms, or if the Company determines that points were obtained by fraudulent means, the Company may cancel those points, and as a result the point balance may become negative.
- The Company may change or end the conditions and amounts of point grants depending on the circumstances of the Service. Changes apply to grant conditions arising after the change and do not affect points already granted.
Article 7-2 (AI Credits)
Some AI features of the Service consume AI credits according to use. AI credits are handled as follows.
- 1 credit is equivalent to 10 yen. The amount consumed by each feature is displayed within the Service or on the pricing page.
- Each month, the Company grants 80 credits to Paid plan users and 4 credits to Free plan users. Credits granted each month may be used only in that month and cannot be carried over to the following month.
- Users may purchase AI credits by prepayment, in three packs: 100 credits for 1,000 yen, 310 credits for 3,000 yen, and 1,100 credits for 10,000 yen. Purchased credits expire 6 months from the date of purchase.
- Credits granted each month are consumed first, followed by purchased credits, starting with those with the earliest expiry date.
- Purchased credits are not refundable. However, if the Company ends provision of the Service, unused credits will be refunded in accordance with applicable laws and regulations.
Article 8 (Prohibited acts)
Users must not engage in the following when using the Service.
- Acts that violate laws, regulations, or public order and morals.

Upon cancellation, the user may continue to use the Service until the end of the current service period, and it will not be renewed for subsequent periods. Refunds are handled under the separately established "Refund Policy" (a full refund within 14 days of payment; no other mid-term or prorated refunds).
Article 12 (Attribution of rights)
Intellectual property rights in the Service and related software belong to the Company or rightful holders. Data entered or registered by the User (such as store information) belongs to the User. However, in the cases set out in Article 10 (Usage restrictions and deregistration), the Company may delete data without prior notice. The handling of data upon withdrawal is set out in the Privacy Policy.
